NATIONAL CONSTITUTION |
This society shall be known as Sigma Iota Epsilon. It is the Student Division of the Academy of Management. ARTICLE II - PURPOSE The purpose of this society shall be to stimulate interest and achievement in the field of management; to stimulate scholarship and research in management through the development of the scientific approach to the solution of management problems; to gain recognition of the value and contribution of scholastic achievement to business and public sector management; to facilitate contacts between students and practicing managers; and, through the extension of honorary and professional membership, to recognize persons who have made contributions to the field of management, provided that all activities conducted by the society shall be of an educational and charitable nature within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1954. ARTICLE III - MEMBERSHIP Section 1. Qualifications Subsection 1. Membership shall be limited to those of high scholarship, with a demonstrated interest in management, and of good moral character. Subsection 2. No individual shall be denied membership in Sigma Iota Epsilon because of race, religion, national origin, or sex. Section 2. Classes of Membership There shall be six classes of membership: undergraduate students; graduate students; members of the institutional, research, or administrative staffs of the host college or university; alumni; honorary; and professional. Subsection 1. Undergraduate Students Candidates for undergraduate degrees in commerce or business administration, or candidates for undergraduate degrees in an academic field represented by a domain of one or more of the Academy of Management's professional divisions or interest groups, may be elected to membership if they have: (a) attained a GPA of at least 3.25 (in a system where A is 4.0) or its equivalent on all work taken at the institution where the chapter is located; (b) completed at least thirty (30) semester hours of work or its equivalent at that institution; (c) completed a minimum of one (1) management prefix course with a grade of B or better; and (d) stated their interest of continuing in the management curriculum by taking at least one more management-prefix course. Subsection 2. Graduate Students Candidates for graduate degrees in commerce or business administration, or candidates for graduate degrees in academic fields represented by a domain of one or more of the Academy of Management's professional divisions or interest groups, may be elected to membership if they: (a) have completed at least nine semester of graduate work, including at least three hours in management, or its equivalent in hours at the institution where the chapter is located; and (b) have attained a GPA of at least 3.5, or its equivalent, as described in Subsection L, above, on all graduate level courses taken at the institution. Subsection 3. Instructional, Research, and Administrative Staffs Members of the instructional, research, or administrative staffs of the institution where the chapter is located may be elected to active membership by the local chapter, subject to the approval of the faculty advisor. Subsection 4. Alumni An alumnus or alumna continues his or her membership in Sigma Iota Epsilon in an inactive status unless a member of an alumni chapter. Subsection 5. Honorary Any person who has made an outstanding contribution to the local chapter or to management, but has never been employed as a professional manager, may be elected to honorary membership by the local chapter subject to the approval of the faculty advisor. Subsection 6. Professional Any professional manager currently or formerly employed in a middle or upper level managerial position, and who has demonstrated interest in the local chapter and the goals of Sigma Iota Epsilon, may be invited to join as a professional member, subject to the approval of the faculty advisor. Section 3. Nominations for Local Chapter Membership Nominations for local chapter membership shall be made by a nominating committee appointed by the president of the local chapter. Nominations are subject to the approval of the faculty advisor. Section 4. Election to Local Chapter Membership Election to membership shall be subject to a two thirds affirmative vote of those members present at a duly called meeting of the chapter. Section 5. Transfer of Local Chapter Membership Members of Sigma Iota Epsilon in good standing who transfer from one local chapter to another shall enjoy all the rights and privileges of the chapter to which they transfer. ARTICLE IV - ADMISSION OF LOCAL CHAPTERS Section 1. Eligibility of Institutions A local chapter may be authorized by the National Office of Sigma Iota Epsilon at any recognized collegiate school of business or graduate school of business which has an established curriculum in management and which makes a formal application for a local chapter under procedures set forth in the National Bylaws and in the Petition to Establish a New Local Chapter form. A local chapter may be authorized by the National Office of Sigma Iota Epsilon at any academic department independent from any recognized collegiate school of business or graduate school of business if the curriculum of such a department corresponds to the domains of one or more of the professional divisions or interest groups of the Academy of Management, and which makes a formal application for a local chapter under procedures set forth in the National Bylaws and in the Petition to Establish a New Local Chapter form. In reviewing the petition for a local chapter by such an academic department, the members of the Sigma Iota Epsilon National Executive Board shall pay special attention to the department's curriculum to ensure that it contains core management courses. Section 2. Only one chapter shall be chartered on the campus of an institution. Section 3. The admission of a local chapter is subject to a majority affirmative vote by the members of the National Executive Board of Sigma Iota Epsilon. ARTICLE V - LOCAL CHAPTER NAMES Local chapters shall be assigned Greek letter names in the order of their admission. ARTICLE VI - GOVERNMENT OF LOCAL CHAPTERS The active (voting) membership of the local chapter shall consist of the undergraduate members, graduate members, members of the instructional, research, and administrative staffs, and professional members of the chapter. ARTICLE VII - ADMISSION OF ALUMNI CHAPTERS The National Office shall be authorized to charter an alumni chapter upon the written application of ten or more qualified alumni members of Sigma Iota Epsilon. ARTICLE VIII - SUSPENSION OR DEACTIVATION OF CHAPTERS Section 1. Suspension Any local chapter not functioning properly may be suspended or deactivated by a majority vote of the members of the SIE National Executive Board. Section 2. Reinstatement A suspended or deactivated chapter may be reinstated by a majority vote of the members of the SIE National Executive Board. ARTICLE IX - NATIONAL ORGANIZATION Section 1. Officers The officers of the national organization. of Sigma Iota Epsilon shall be a President, Secretary Treasurer, and Administrator. These officers and the members of the National Executive Board shall form the governing body. Subsection 1. Nomination of Officers The President shall be elected from among the faculty members of the active chapters. The National Executive Board, acting as the Nominating Committee, shall prepare a list of nominees for the office of President. To be eligible to serve as President, a person must have been a member of the Academy of Management for a minimum of three years. Subsection 2. Election of the President A majority affirmative vote by the active chapters shall be necessary to elect the President. Of all officers, only the President is elected. Subsection 3. Appointment of the Secretary-Treasurer The President shall appoint the Secretary Treasurer. Both the President and Secretary-Treasurer shall be members of the same local chapter. Subsection 4. Appointment of the Administrator The President shall appoint the Administrator, who, as a professional manager, need not be a member of the local chapter or of any other local chapter of SIE. Subsection 5. Term of Office The term of the President and Secretary-Treasurer shall be five years. The Administrator serves at the pleasure of the President. Subsection 6. Recall of Officers Should the President or Secretary-Treasurer fail to execute their duties properly or act contrary to the best interest of SIE, they shall be liable to recall. Recall shall be by a majority affirmative vote of the active chapters, certifying to the members of the SIE National Executive Board that the majority of members present at a meeting of the local chapter have voted for recall. The National Executive Board shall then declare the office(s) vacant and initiate action to fill the vacancy. Section 2. National Executive Board Subsection 1. Membership The National Executive Board shall comprise the current President, the past three Presidents, and the President of the Academy of Management (ex officio). Whenever any of the four persons specified above is unable to serve on the Board for any reason, such as incapacity, retirement, or death, the remaining Board members, shall, at their discretion, declare a vacancy of that position, and it shall be filled as specified below. When a vacancy exists of the Board for any of the four Board positions specified above, a replacement shall be chosen for the unexpired term of that position up to a maximum of five years, using the following procedure. The President shall recommend two candidates to the remaining Board members. Criteria for being recommended will include the following: current or past serve as an SIE Faculty Advisor; achievements of the local chapter under the faculty advisor's guidance; SIE membership for a minimum of eight years; willingness to assume the responsibility of SIE Board membership; and academic scholarship, influence, and rank. The Board shall elect by majority vote one of the recommended candidates, or it may, at its discretion, seek additional candidates before electing one by majority vote. A Board member elected in this manner may, at the appropriate time, be elected for an additional term of five years. Subsection 2. Powers and Responsibilities The members of the SIE National Executive Board shall have all the powers and responsibilities specifically stated or reasonably implied in the various sections of this Constitution, and such others powers and responsibilities not in conflict with this Constitution as are usually exercised by any executive board, subject to the general policies of the Academy of Management respecting its semi autonomous divisions. ARTICLE X - THE RITUAL The Ritual as approved by the SIE National Executive Board shall be the official Ritual. It shall provide ceremonies for the initiation of members and the installation of chapters. ARTICLE XI - THE EMBLEM The emblem of Sigma Iota Epsilon is a gold key of conventional design, uncut, and rectangular in shape. The letters SIE are arranged diagonally from the upper left to lower right. In the upper right is a replica of the Old Slater Textile Mill, the first factory built in the U. S. at Pawtucket, RI and symbolic of factory production where science was first applied to the work of management. In the lower left is a representation of the functional organization developed by F. W. Taylor, and symbolic of management techniques. ARTICLE XII - OFFICIAL PUBLICATION The official publication of Sigma Iota Epsilon shall be known as Management Futures. It shall be published at such intervals as the National President shall determine. ARTICLE XIII - REVISION OF THE BYLAWS The National Executive Board shall have the authority to amend the National Bylaws of Sigma Iota Epsilon in any manner consistent with this Constitution and to serve the best interests of the society. In considering proposed revisions of major importance, the members of the SIE National Executive Board shall consult with the faculty advisors of the local chapters. ARTICLE XIV - I.R.S. CODE Section 1. Notwithstanding other provisions of these articles, this organization shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal income tax under Section 501(c)(3) of the I.R. S. Code of 1954 or the corresponding provisions of any future U. S. Internal Revenue law. Section 2. In the event of dissolution, residual assets of the organization will be turned over to one or more organizations which, themselves, are exempt as organizations described in Sections 501(c)(3) and 170(c)(2) of the I.R.S. Code of 1954 or corresponding sections of any prior or future U. S. Internal Revenue law, or to the federal, state, or local government for exclusive public purpose. ARTICLE XV - AMENDMENT OF CONSTITUTION Section 1. Procedure This Constitution may be amended by a majority vote of the members of the SIE National Executive Board. Changes may be initiated by the local chapters or by the national officers. Section 2. Enactment This Constitution shall become effective when approved by a majority of the members of the SIE National Executive Board. Revised,
